The decision comes less than two months after Tesla shareholders approved a new plan that&nbsp;<a href=\"https:\/\/www.theguardian.com\/technology\/2025\/nov\/06\/tesla-1tn-pay-package-elon-musk\">could be worth $1tn<\/a>&nbsp;to Musk, already the world\u2019s richest person, in a decade\u2019s time.<strong>&nbsp;<\/strong>Musk\u2019s fortune currently stands at an&nbsp;<a href=\"https:\/\/www.theguardian.com\/technology\/2025\/dec\/15\/elon-musk-net-worth-spacex-ipo\">estimated $600bn<\/a>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Rescinding the pay deal would be \u201cinequitable\u201d, and would leave Musk \u201cuncompensated for his time and efforts over a period of six years\u201d, the&nbsp;<a href=\"https:\/\/www.theguardian.com\/us-news\/delaware\">Delaware<\/a>&nbsp;supreme court justices wrote, echoing arguments from Tesla board members earlier this year.<\/p>\n\n\n\n<figure class=\"wp-block-image\" id=\"1be0eec9-45cf-49b8-9932-b287cf1a8211\"><a class=\"dcr-1m887w9\" href=\"https:\/\/www.theguardian.com\/technology\/2025\/dec\/15\/elon-musk-net-worth-spacex-ipo\"><img decoding=\"async\" src=\"https:\/\/i.guim.co.uk\/img\/media\/b7309d22a23a4060507b89250ef86c3b4768635d\/198_0_3551_2841\/master\/3551.jpg?width=460&amp;quality=85&amp;auto=format&amp;fit=max&amp;s=e5a0cde3dbbc6a1c58954e08e5e5c000\" alt=\"side profile of person wearing suit\"\/><\/a><\/figure>\n\n\n\n<p class=\"wp-block-paragraph\">At the&nbsp;<a href=\"https:\/\/www.theguardian.com\/technology\/2025\/nov\/06\/tesla-1tn-pay-package-elon-musk\">company\u2019s annual meeting<\/a>&nbsp;in Austin, Texas, this November, shareholders had approved a stopgap measure for Musk, ensuring \u2013 regardless of how the Delaware supreme court ruled on this appeal \u2013 that he would get the $56bn his supporters say he is owed.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Tesla did not immediately respond to a request for comment or for more details on Friday\u2019s ruling.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Both of the compensation packages, as well as other pay plans approved by Tesla shareholders, require Musk to meet a number of lofty goals related to product development and increasing the company\u2019s value to $8.5tn in order to cash out on those awards.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The case that first invalidated the original pay package was launched seven years ago when a Tesla stockholder, who held just nine shares at the time, filed a suit arguing that the plan was set up to overpay the world\u2019s richest person. That first ruling voided the billions Musk was to receive, which left the Tesla co-founder less than pleased.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Not only did Musk relocate Tesla to Texas from Delaware, where it was incorporated at the time the suit began, he also publicly&nbsp;<a href=\"https:\/\/www.usnews.com\/news\/business\/articles\/2025-03-19\/delawares-status-as-corporate-capital-might-be-on-the-line-in-a-fight-over-shareholder-lawsuits\">lashed out against the state<\/a>&nbsp;and specifically its court of chancery and chief judge, Chancellor Kathaleen McCormick.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u201cShe has done more to damage Delaware than any judge in modern history,\u201d he wrote on X, his social media platform, in February 2024.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Tesla stockholders in 2024 were again asked to vote on the 2018 pay package. They approved it, and once again, McCormick struck it down, ruling that the \u201cSuperstar CEO\u201d,&nbsp;<a href=\"https:\/\/courts.delaware.gov\/Opinions\/Download.aspx?id=359340\">as she called him<\/a>, had undue influence in developing his own pay package and that stockholders weren\u2019t fully informed ahead of the vote.<\/p>\n\n\n\n<figure class=\"wp-block-image\" id=\"54fc2443-c6cb-406a-aede-4cc742794c94\"><a class=\"dcr-1m887w9\" href=\"https:\/\/www.theguardian.com\/us-news\/2025\/dec\/17\/nasa-jared-isaacman-confirmation\"><img decoding=\"async\" src=\"https:\/\/i.guim.co.uk\/img\/media\/b7f6bea895cdfe86dbb5707d284bcff86997a259\/650_0_4702_3762\/master\/4702.jpg?width=460&amp;quality=85&amp;auto=format&amp;fit=max&amp;s=21c1c0cbb6d41a7b0df0eb6e25c1267c\" alt=\"a man in a suit looks off to the side\"\/><\/a><\/figure>\n\n\n\n<p class=\"wp-block-paragraph\">Musk has voiced his displeasure ever since.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u201cAny lawyer still recommending incorporation in Delaware at this point should be sued for malpractice,\u201d he posted online earlier this year.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In Friday\u2019s opinion, the justices agreed with McCormick\u2019s earlier findings that there was a breach of fiduciary duty in developing the original package and presenting it to shareholders. They ordered $1 be paid to the plaintiff in nominal damages.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">However, the five judges agreed that rescinding Musk\u2019s full pay package wasn\u2019t appropriate.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">While Musk has publicly called for other companies to follow his lead and leave Delaware \u2013 which has historically been&nbsp;<a href=\"https:\/\/corp.delaware.gov\/stats\/\">home to more than 60% of Fortune 500 companies<\/a>&nbsp;\u2013 experts have tracked only a few dozen companies that have actually done so.
